Hadi Melki is a partner with EK Partners & Al Enezee in association with Squire Sanders. He has a wide range of experience in telecommunications, information technology, corporate, real estate, construction, BOT, PPP, and civil law matters.

Hadi leads the firm’s communications practice in the middle east. He advises regional and international telecom operators and service providers in relation to various telecom and information technology regulatory and transactional matters including application for bids to award telecom licenses, negotiation and drafting of consortia, funding and management agreements. infrastructure roll out, sharing, operation and maintenance, vendor financing, PPP and BOT projects, content, joint ventures, landing of submarine cables, capacity purchase, O&M, spectrum and other related matters.

Representative Experience

  • Advised a GCC telecom operator in designing and implementing various joint venture projects based on vendor financing/profit sharing models, conducted a regulatory review and analysis, identified regulatory and legal impediments in relation to the same, structured the legal and corporate vehicles accordingly.
    Advised a foreign internet caching and mirroring service provider in relation to licensing matters in the GCC region.
  • Represented a major GCC telecom operator in a litigation matter in connection with a 1.3 billion SAR dispute between the members of a consortium of telecommunications operators for the roll-out and operations of a GCC national fiber optic network on an infrastructure sharing model.
  • Participated in the team comprising technical and legal consultants advising a GCC regulator on the modification of the regulatory framework involving review of the licensing regime, interconnection, competition, telecom /media convergence as well as content related issues.
  • Assisted a GCC telecom operator in the arbitration process in relation to a $330 million dispute conducted in London with respect to a Total Solution Contract for the provision of IP, Wireless and OSS/BSS system.
  • Advised a GCC telecom operator with respect to a landing party agreement to be entered into for the landing of an international submarine cable within the company’s Landing Cable Stations.
  • Advised a GCC telecom operator in relation to the drafting and negotiation of a capacity purchase agreement to be entered into with the owners of the submarine cable and in compliance with the applicable regulations.
  • Assisted a major GCC telecom operator licensed for data communications services in reviewing and standardizing its products/services sales and distribution agreements.
  • Advised on a stake acquisition in a major GCC telecommunications company with subsidiaries in several jurisdictions in the Middle East region, participated in the due diligence process, advised on the general corporate and telecom specific local laws aspect of the project, worked on the Share Sale and Purchase Agreement proposed for the transaction.
  • Counseled a consortium of investors and a telecommunications operator with respect to its participation in the bidding process for a mobile license in a GCC country, designed the consortium structure in conformity with the bid documents and the applicable regulations, drafted consortium and funding agreement, participation agreements, management agreement, applicant shareholders agreements, bid bond, performance bond and other bank guarantees, verified compliance of all agreements and documentation with the tender terms and process.
  • Assisted a telecom operator in drafting and negotiating an agreement for the Construction and Maintenance of the metro rings related to a national fiber optic network based on an infrastructure sharing model.
